Clear terms for using Navio.

These terms explain the responsibilities that come with creating a Navio account, planning and sharing routes, and using a paid subscription.

Agreement and business use

These terms form an agreement between Navio and the person or business that creates an account or uses the service. By creating an account, accepting an invitation or using Navio, you agree to these terms and the Privacy Statement.

Navio is intended for business and professional use. If you use Navio for a business, you confirm that you are at least 18 years old and have authority to accept these terms for that business. In these terms, “you” includes that business and the people it authorises to use Navio.

If you do not have authority to act for the business, or do not agree to these terms, do not create an account or use the service on its behalf.

Accounts and authority

You must provide accurate account information and keep it current. Each person should use their own account rather than sharing sign-in details. You are responsible for keeping passwords and account access secure and for promptly telling Navio if you suspect unauthorised access.

A business owner or administrator may invite users, assign permissions and manage access for the business. The business is responsible for the actions of its users and for removing access when a person no longer requires it.

Some actions, including billing, user management and route sharing, may be limited to users with the relevant permission.

The Navio service

Navio provides tools for importing selected job information, sequencing stops, building routes, sharing route information with drivers, monitoring progress and reviewing completed work.

Features and limits depend on the plan shown in your account or at checkout. Limits may include stops per route, routes created per day, retained history, storage or user access. Navio may prevent an action that exceeds the applicable plan limit.

Navio may release improvements, replace a feature or change the way a feature works. Material changes affecting a paid plan are addressed under Availability and changes.

Routes and driving decisions

Route sequences, travel times, distances, directions and map information are planning aids. They may be affected by incomplete addresses, map data, road changes, traffic, vehicle restrictions, access conditions, weather or other circumstances that Navio cannot reliably assess.

Your business is responsible for checking that a planned route is suitable for the vehicle, driver and work. Drivers must use their own judgement, follow road rules and signs, comply with vehicle and site restrictions, and choose a safe alternative whenever actual conditions differ from the route shown.

Navio does not replace a driver’s responsibility for safe and lawful driving or a business’s responsibility for its vehicles, staff, schedules and work practices.

Business and job information

You retain ownership of information you provide to Navio. You give Navio permission to host, process, transmit and display that information only as reasonably needed to operate, secure and support the service and as otherwise described in the Privacy Statement.

Spreadsheet files opened in the route builder are processed in the browser and are not uploaded to Navio. Only information selected and saved as part of a route is sent to the service. You decide which job fields are retained and which are made available to drivers.

You are responsible for ensuring that:

  • you are authorised to collect, use and provide the information;
  • the information is accurate enough for the intended work;
  • only information reasonably needed for the route is selected and shared;
  • staff, drivers and customers receive any notices required by law; and
  • you keep any separate records or exports your business is required to retain.

Acceptable use

You must not use Navio to:

  • break the law, infringe another person’s rights or facilitate harmful conduct;
  • upload malicious code or information you are not authorised to use;
  • gain unauthorised access to an account, route, system or network;
  • interfere with the service or place an unreasonable load on it;
  • bypass plan limits, access controls or security measures;
  • reverse engineer or copy protected parts of Navio except where law permits it; or
  • resell or provide the service to another organisation without Navio’s agreement.

Trials, plans and billing

Free trial

New eligible accounts may receive a seven-day trial. No payment card is required for the standard trial and it does not automatically become a paid subscription. When the trial ends, the account moves to the applicable free access and limits unless an authorised user chooses a paid plan.

Paid subscriptions

Paid subscriptions are billed in advance for each monthly billing period and renew automatically until cancelled. The price, currency, applicable taxes and plan details shown at checkout form part of these terms. Stripe processes checkout and subscription payments.

You authorise the recurring charge shown at checkout. If a payment fails, Navio may retry it and may limit or suspend paid features after reasonable notice while the amount remains unpaid.

Price changes

Navio may change the price of a paid plan for a future billing period by giving reasonable advance notice. The new price will not be applied retrospectively. You may cancel before the new price takes effect.

Cancellation and account closure

An authorised billing user can manage or cancel a paid subscription through the billing portal. Cancellation normally takes effect at the end of the current paid billing period, and paid features remain available until then.

Charges already paid are not normally refunded for a change of mind or unused time in a billing period. This does not limit any refund, cancellation or other remedy required by law. If Navio ends a paid service without cause before the end of a prepaid period, Navio will provide an appropriate refund or credit for the unused portion.

To close an account entirely, contact [email protected]. Export information you need before closure. Information is then handled under the retention and deletion section of the Privacy Statement.

Availability, support and changes

Navio aims to provide a reliable service, but uninterrupted or error-free access cannot be guaranteed. Maintenance, faults, internet conditions and third-party services may occasionally affect availability.

Support is provided through the contact channels made available by Navio. Response times may vary unless a separate written service level has been agreed.

Navio may improve, add, replace or retire features. Where a planned change would materially reduce the core functionality of a paid plan, Navio will provide reasonable advance notice where practical. If the change takes effect during a prepaid period and materially reduces the service purchased, you may cancel and request an appropriate credit or refund for the affected unused portion.

Third-party services

Navio relies on third-party services for functions such as maps, geocoding, route calculation, infrastructure, email, file storage and billing. Their services and data may occasionally be unavailable, delayed or inaccurate.

Third-party products or websites that you choose to use separately may have their own terms and privacy practices. Navio is not responsible for a third-party service outside the functions Navio has arranged as part of providing its own service.

Ownership and feedback

Navio and its licensors retain ownership of the service, software, design, documentation, branding and other materials supplied by Navio. These terms give you a limited, non-exclusive and non-transferable right to use the service for your internal business operations while your account is active.

If you provide suggestions or feedback, Navio may use them to improve the service without owing payment or granting ownership. This does not give Navio ownership of your business information, routes or operational records.

Suspension and termination

Navio may restrict or suspend access where reasonably necessary to protect the service or another person, investigate suspected misuse, respond to a legal requirement, address non-payment, or deal with a material breach of these terms. Where practical, Navio will explain the reason and provide an opportunity to remedy the issue.

Navio may terminate an account immediately for serious or repeated misuse, unlawful activity, a security threat, or a material breach that is not remedied after reasonable notice. Navio may otherwise discontinue an account or the service with reasonable advance notice.

Terms that need to continue after termination—including payment obligations, ownership, lawful use of retained records, liability limits and dispute provisions—remain in effect.

Changes, disputes and contact

Navio may update these terms to reflect service, legal or operational changes. If a change materially affects your rights or responsibilities, Navio will provide reasonable notice before it takes effect. Continued use after the effective date means the updated terms apply; if you do not agree, you may stop using the service and cancel before the change takes effect.

These terms are governed by New Zealand law. You and Navio submit to the non-exclusive jurisdiction of the New Zealand courts. This does not prevent a person from relying on mandatory rights or remedies available in another jurisdiction.
